These Terms & Conditions (the «Terms») govern your access to and use of the website pnl-studio.org, our digital templates, downloadable files, consulting services and related materials (the «Service») provided by FOP Chernova Marianna Mykolaivna, individual entrepreneur registered in Ukraine, tax ID 3339709001 («we», «PnL Studio»).
1. Acceptance
By using the Service, placing an order or downloading any materials, you confirm that you have read these Terms and agree to be bound by them. If you are entering into these Terms on behalf of an organization, you confirm that you have authority to bind it.
2. The Service
PnL Studio offers:
- Consulting services — individual consultations and consultation packages in management accounting, budgeting, financial modeling and unit economics.
- Informational materials — template descriptions and educational content on the website. Templates are not currently sold directly through the site; for template enquiries, please contact us via the contact form.
3. Orders and payment
To book a consultation, the client submits a request via email or the contact form, after which scope, price and schedule are agreed. Payment is made directly to the bank account of FOP Chernova Marianna Mykolaivna (bank transfer, Revolut, Monobank, USDT, USDC) against an invoice. Payment details are shared with the client after the request is confirmed.
3.2. Consultation conduct
Consultations are conducted only after 100% prepayment. In the event of rude behaviour, insults, aggression or disrespect from the client, the consultation will be terminated immediately with no refund for the current session.
4. Licence to use templates
Upon payment we grant you a limited, non-exclusive, non-transferable licence to use the purchased templates and materials for your own business purposes or those of your company. You may not resell, redistribute, publicly publish, sublicense or use them in commercial products that compete with the Service.
5. Acceptable use
You agree not to use the Service for:
- any unlawful activity under applicable law;
- fraud, spam, phishing or misleading conduct;
- infringing third-party intellectual property rights;
- circumventing security, probing infrastructure, distributing malware or scraping.
5a. No financial or investment advice
All PnL Studio digital products are spreadsheet templates (Excel/Google Sheets) and general educational materials. They are not financial, investment, accounting, tax or legal advice, are not a recommendation to buy, sell or hold any asset, security or financial instrument, and are not an offer of any financial service. The templates do not generate forecasts and do not guarantee any financial outcome — all figures, assumptions and scenarios are entered by the user. You are solely responsible for your own business and financial decisions and should consult a licensed professional in your jurisdiction where appropriate.
6. Intellectual property
All rights in the website, templates, methodologies, documentation, text, graphics and software comprising the Service belong to PnL Studio or our licensors. These Terms grant you no intellectual property rights other than the licence expressly set out in section 4.
7. Availability
We use commercially reasonable efforts to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service is provided «as is» without warranties of merchantability or fitness for a particular purpose to the maximum extent permitted by law.
8. Suspension and termination
We may restrict, suspend or terminate your access to the Service in the case of: (a) material breach of these Terms; (b) non-payment; (c) security or fraud risk; (d) repeated or serious policy violations.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or in connection with the Service shall not exceed the amount you paid us for the relevant service or template in the 12 months preceding the event giving rise to the claim. We are not liable for indirect, consequential or financial losses, lost profits or business decisions made based on our materials.
10. Refunds
Refund terms for consulting services are agreed individually and confirmed when the order is placed. Prepayments for consultations that have already taken place are non-refundable. Cancellations before the consultation starts are handled on a case-by-case basis.
11. Privacy
Processing of personal data is governed by our Privacy Notice.
12. Changes
We may update these Terms from time to time. The current version is always published on this page with the date of last update. Continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Governing law
These Terms are governed by the laws of Ukraine. Disputes that cannot be resolved amicably will be submitted to the competent courts of Ukraine.
